1 Acceptance of Terms

By accessing or using TangoText at tangotext.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We may update these Terms from time to time. Continued use of TangoText after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify you of significant changes.

2 The Service

TangoText is a browser-based file transformation tool that allows users to reformat, reshape, and transform text files including CSV, TSV, JSON, XML, and fixed-length formats. It includes tools for field mapping, conditional logic, value formatting, data masking, data validation (TangoCheck) and reusable templates. These tools apply the settings you choose to your file; they do not know your intent or your destination system's requirements.

Key technical fact: All file processing occurs entirely within your browser. Your file contents are never uploaded to TangoText servers. TangoText does not have access to the contents of files you transform. TangoText does collect limited usage information (such as row and column counts and the output format) and stores templates you choose to save, as described in our Privacy Policy.

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3 Accounts

To access certain features of TangoText, you must create an account. You agree to:

You must be at least 16 years of age to create an account. By creating an account, you represent that you meet this requirement.

One person or legal entity may not maintain more than one free account. Multiple accounts created to circumvent usage limits are prohibited.

4 Plans & Billing

Free Plan: Includes 5 transforms per month at no charge. No credit card required.

Paid Plans: Solo and Team plans are available on monthly or annual billing cycles. Pricing is displayed at tangotext.com.

Billing: Paid plans are billed in advance on a recurring basis (monthly or annually). Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Plan changes: You may upgrade, downgrade or switch billing intervals at any time through the billing portal. When upgrading mid-cycle, Stripe automatically calculates a prorated credit for the unused value of your current plan and applies it toward the cost of the new plan — you are only charged the difference. Downgrades take effect at the end of the current billing period.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your paid access will continue until the end of your current billing period. No refunds are issued for unused portions of a billing period.

Price changes: We reserve the right to change our pricing. We will provide at least 30 days' notice of price changes to existing subscribers. Continued use after a price change constitutes acceptance of the new pricing.

Taxes: Prices displayed are exclusive of applicable taxes. You are responsible for any applicable taxes in your jurisdiction.

5 Acceptable Use

6 Intellectual Property

TangoText and its original content, features, and functionality are owned by TangoText and are protected by intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

You retain all rights to your own data and files. By saving templates to TangoText, you grant us a limited license to store and display that template data solely for the purpose of providing the Service to you.

7 Your Data

As described in our Privacy Policy, the contents of your files are processed entirely in your browser and never transmitted to our servers. You are solely responsible for the data you process using TangoText, for your original files, and for keeping your own copies and backups. TangoText never modifies your source file and does not keep a copy of it.

You represent and warrant that you have the right to process any data you submit through TangoText, and that doing so does not violate any applicable laws, contractual obligations, or the rights of any third party. You are responsible for complying with all privacy, confidentiality and data-protection obligations that apply to the data you process and to any output you create, store or share.

Templates store your configuration, which can include text you type into settings, such as static values, conditional values, validation rule values, field names and data-masking key names. Do not enter sensitive or personal data into those fields. Templates never contain the rows of your file or your masking passphrases.

8 Your Responsibility to Review Output

Always review before you use it. You must review the preview and the generated output, and confirm it is correct and suitable, before you load it into any system, send it to anyone, or rely on it in any way.

TangoText applies the settings you choose, and the result may not be what you expected. For example: a value may arrive in an unexpected format; a column may be mapped to the wrong field; a conditional rule may not cover every case; a date such as 03/04/2024 may be read more than one way; a formatting option may not be able to process a value (such values are left unchanged and may be flagged); a validation rule may not catch every problem; or a masking option may be set differently than you intended.

You agree to: (a) review the output, including a spot check of the actual rows, before using it; (b) confirm it meets the specification of the system or recipient that will receive it; (c) test with a sample before running production work; (d) keep your original files; and (e) not rely solely on TangoCheck, formatting, or any warning, count, or "fixed by formatting" indicator to ensure data quality, accuracy, or legal compliance. These features are aids only. They may be incomplete and are not guarantees.

The “TangoSense” feature uses automatic pattern checks to point out possible personal data and data quality issues. It can miss items, flag items incorrectly, and suggest settings or rules that are not right for your data. Applying a suggestion is your decision, and you remain responsible for reviewing the result. The TangoText Parties do not guarantee that any file is accurate or free of personal information.

In these Terms, “TangoText Parties” means TangoText, its parent company, subsidiaries and affiliates, and each of their respective founders, owners, shareholders, directors, officers, employees, contractors, agents, licensors, service providers, successors and assigns. The TangoText Parties are not responsible or liable for any outcome that is not as you expected, including incorrect, incomplete, truncated, or improperly formatted output; values that were not changed, flagged, or masked; files or transactions rejected by another system; or decisions, costs, or losses that follow from using the output.

9 Data Masking & Passphrases

Data masking is provided as a convenience. It is not a guarantee of anonymization, de-identification, security, or compliance with any law, regulation, standard, or contract. How well masked data protects people depends on your settings, your choice of fields, your passphrase, and the rest of your data. Masked output can sometimes still be linked back to a person, for example through other fields, small sets of values, formats that keep part of the original, or a weak passphrase. You alone decide whether masked output is suitable to store, share, or publish, and you are responsible for masking every field that needs it.

Passphrases. When you create a repeatable masking key, your passphrase is used only in your browser. It is never stored by TangoText, emailed, saved to a template, or sent to us. This means we cannot recover, reset, or change it, and we cannot "unmask" any value. If you forget or lose a passphrase, you will not be able to reproduce the same masked values. You may create a new key, but the values it produces will differ from earlier output. Anyone who learns a key name and passphrase can produce the same masked values, so keep your passphrase secure, for example in a password manager.

Keys stored in your browser. The list of key names, any optional hint you write, and a verification value used to check that a passphrase was typed correctly are kept in your browser only. Clearing browser data or using another device removes that list. A hint is visible to anyone using your browser, so never put the passphrase, or something that reveals it, in the hint. Saved templates keep the key name only. A person who opens a template needs the passphrase for that key, and may create, delete, or use a different key, which changes the masked output.

Random masking. Random masking gives different results each time and cannot be repeated.

To the maximum extent permitted by law, the TangoText Parties are not liable for any loss or consequence arising from a forgotten, lost, or compromised passphrase; masked values that cannot be reproduced, reversed, or matched to earlier output; a field that was not masked or was masked differently than intended; or any disclosure or regulatory consequence arising from your use or sharing of masked or unmasked output.

10 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or fitness for any purpose of any output produced by TangoText, or of any result of its formatting, conversion, validation, or masking features.

You are solely responsible for verifying the accuracy of any data transformation performed by TangoText before using that data in any business, legal, or operational context. Please see sections 8 and 9.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TANGOTEXT PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

WITHOUT LIMITING THE ABOVE, THE TANGOTEXT PARTIES ARE NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM INCORRECT, INCOMPLETE, OR UNEXPECTED OUTPUT; FORMATTING, CONVERSION, OR VALIDATION ERRORS; LOST, FORGOTTEN, OR COMPROMISED MASKING PASSPHRASES; MASKED VALUES THAT CANNOT BE REPRODUCED OR REVERSED; OR YOUR USE OF ANY OUTPUT WITHOUT REVIEWING IT.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO TANGOTEXT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 CAD, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations or exclusions. In those cases, our liability is limited to the greatest extent permitted by law.

Indemnification. You agree to indemnify, defend and hold harmless the TangoText Parties from any claim, loss, or expense (including reasonable legal fees) arising from your data, your use of the Service or its output, or your violation of these Terms or of any law or third-party right.

12 Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine in our sole discretion violates these Terms or is harmful to other users, us, third parties, or for any other reason.

You may terminate your account at any time by contacting us at info@tangotext.com. Upon termination, your right to use the Service ceases immediately.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of TangoText shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
