Terms of Service

1 Acceptance of Terms

By accessing or using TangoText at tangotext.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We may update these Terms from time to time. Continued use of TangoText after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify you of significant changes.

2 The Service

TangoText is a browser-based file transformation tool that allows users to reformat, reshape, and transform text files including CSV, TSV, JSON, XML, and fixed-length formats.

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3 Accounts

To access certain features of TangoText, you must create an account. You agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 16 years of age to create an account. By creating an account, you represent that you meet this requirement.

One person or legal entity may not maintain more than one free account. Multiple accounts created to circumvent usage limits are prohibited.

4 Plans & Billing

Free Plan: Includes 5 transforms per month at no charge. No credit card required.

Paid Plans: Solo and Team plans are available on monthly or annual billing cycles. Pricing is displayed at tangotext.com.

Billing: Paid plans are billed in advance on a recurring basis (monthly or annually). Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Plan changes: You may upgrade, downgrade or switch billing intervals at any time through the billing portal. When upgrading mid-cycle, Stripe automatically calculates a prorated credit for the unused value of your current plan and applies it toward the cost of the new plan — you are only charged the difference. Downgrades take effect at the end of the current billing period.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your paid access will continue until the end of your current billing period. No refunds are issued for unused portions of a billing period.

Price changes: We reserve the right to change our pricing. We will provide at least 30 days' notice of price changes to existing subscribers. Continued use after a price change constitutes acceptance of the new pricing.

Taxes: Prices displayed are exclusive of applicable taxes. You are responsible for any applicable taxes in your jurisdiction.

5 Acceptable Use

You agree not to use TangoText to:

• Violate any applicable laws or regulations
• Circumvent usage limits through multiple accounts, automated requests, or other means
• Attempt to gain unauthorized access to TangoText systems or other users' accounts
• Introduce malware, viruses, or other malicious code
• Reverse engineer, decompile, or attempt to extract the source code of TangoText
• Use TangoText in any way that could damage, disable, or impair the Service
• Resell or sublicense access to TangoText without our written consent

We reserve the right to suspend or terminate accounts that violate these terms.

6 Intellectual Property

TangoText and its original content, features, and functionality are owned by TangoText and are protected by intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

You retain all rights to your own data and files. By saving templates to TangoText, you grant us a limited license to store and display that template data solely for the purpose of providing the Service to you.

7 Your Data

As described in our Privacy Policy, your files are processed entirely in your browser and never transmitted to our servers. You are solely responsible for the data you process using TangoText.

You represent and warrant that you have the right to process any data you submit through TangoText, and that doing so does not violate any applicable laws or the rights of any third party.

8 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy or completeness of any output produced by TangoText.

You are solely responsible for verifying the accuracy of any data transformation performed by TangoText before using that data in any business, legal, or operational context.

9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TANGOTEXT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO TANGOTEXT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 CAD, WHICHEVER IS GREATER.

10 Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine in our sole discretion violates these Terms or is harmful to other users, us, third parties, or for any other reason.

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service ceases immediately.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of TangoText shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
